Ventas files registration statement for outstanding 3⅞% Convertible Senior Notes due 2011

Ventas, Inc. (NYSE: VTR) (“Ventas” or the “Company”) said today that, in connection with the Company’s outstanding 3⅞% Convertible Senior Notes due 2011, issued in 2006, it has filed with the Securities and Exchange Commission (the “Commission”) a registration statement on Form S-3, relating to the resale, from time to time, by the selling stockholders of shares of the Company’s common stock, if any, that may become issuable upon conversion of the notes. The registration statement filed by Ventas today replaces the Company’s existing resale shelf registration statement, which expires on March 27, 2010.
